Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Compel Shopify application ("Compel," "the App," "we," "us," or "our"). By installing or using Compel, you agree to be bound by these Terms. If you do not agree, do not install or use the App.

1. The Service

Compel is a Shopify application that provides conversion optimization widgets for Shopify merchants, including countdown timers, social proof notifications, trust badges, free shipping progress bars, and related tools. The App operates within the Shopify ecosystem and requires an active Shopify store to function.

2. Eligibility

To use Compel, you must:

• Be the owner or authorized user of a Shopify store
• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal authority to enter into binding contracts
• Comply with Shopify's Terms of Service

3. Account and Access

Compel uses Shopify's OAuth authentication. You do not create a separate Compel account — your Shopify credentials authorize access. You are responsible for maintaining the security of your Shopify account and for all activity that occurs under your store's installation of Compel.

4. Subscription and Billing

4.1 Free Trial

Compel offers a 14-day free trial beginning on the date of installation. All features are available during the trial period. No payment is required to begin your trial.

4.2 Paid Subscription

After the trial period, continued use of Compel requires a paid subscription at $15.00 USD per month. All fees are billed through Shopify's Billing API and will appear on your Shopify invoice.

4.3 Cancellation

You may cancel your subscription at any time from your Shopify admin panel. Cancellation takes effect at the end of the current billing period. Upon cancellation:

• Compel widgets will stop rendering on your storefront
• Your widget configurations will be preserved for 90 days
• You will not be charged for subsequent billing periods

Compel does not offer refunds for partial billing periods, except where required by applicable law.

4.4 Price Changes

We reserve the right to change our pricing. We will provide at least 30 days' notice before any price increase takes effect. Continued use of the App after the effective date constitutes acceptance of the new pricing.

4.5 Lapsed Subscriptions

If your subscription lapses (trial expired or payment failed), Compel widgets will cease to render on your storefront. Your configurations remain saved and will be restored when you resubscribe.

5. Permitted Use

You may use Compel solely for lawful business purposes on your own Shopify store. You agree not to:

• Use Compel to display false, misleading, or deceptive information (including fabricated social proof)
• Attempt to reverse engineer, decompile, or extract source code from the App
• Resell, sublicense, or transfer access to Compel to third parties
• Use Compel in any way that violates Shopify's Terms of Service or Partner Program Agreement
• Use Compel to collect personal data beyond what is necessary for widget functionality
• Attempt to circumvent subscription requirements or access controls
• Use automated means to access or scrape the App or its APIs beyond normal app operation

6. Intellectual Property

Compel and all its components — including software, design, trademarks, and content — are owned by us and protected by intellectual property laws. These Terms do not grant you any ownership rights in the App.

We grant you a limited, non-exclusive, non-transferable, revocable license to use Compel solely for its intended purpose on your Shopify store during the term of your subscription.

You retain ownership of your store data and widget configurations. By using Compel, you grant us the limited right to access and process your store data as necessary to provide the service.

7. Data and Privacy

Our collection and use of data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Compel, you agree to the Privacy Policy.

You are responsible for ensuring your use of Compel complies with applicable privacy laws in your jurisdiction, including providing appropriate disclosures to your customers about the use of social proof widgets on your store.

8. Shopify Platform

Compel operates on the Shopify platform. Your use of Compel is subject to Shopify's Terms of Service. We are not affiliated with Shopify Inc. and Shopify is not responsible for Compel or its operation.

We may be required to modify, suspend, or discontinue the App if Shopify changes its platform requirements or APIs. We will provide reasonable notice where possible.

9. Service Availability

We aim to maintain high availability for Compel but do not guarantee uninterrupted service. We may experience downtime due to maintenance, infrastructure issues, or events beyond our control. We are not liable for any losses resulting from service interruptions.

We reserve the right to modify, suspend, or discontinue any feature of Compel at any time with reasonable notice.

10. Disclaimer of Warranties

COMPEL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE APP WILL INCREASE YOUR CONVERSION RATES, SALES, OR REVENUE. RESULTS MAY VARY AND DEPEND ON MANY FACTORS OUTSIDE OUR CONTROL.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO COMPEL WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM.

WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify and hold harmless Compel and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the App, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to Compel at any time if you violate these Terms. You may terminate your use of Compel at any time by uninstalling the App from your Shopify store.

Upon termination, your right to use the App ends immediately. Sections 6, 10, 11, 12, and 14 survive termination.

14. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes will be resolved in the courts of California.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 14 days before changes take effect. Continued use of Compel after the effective date constitutes acceptance of the updated Terms.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Compel regarding the App and supersede any prior agreements or understandings.
